Welcome to the website of BAM Savings, LLC ("BAM Savings," "we," "us," or "our"), a group purchasing organization organized under the laws of the State of New Mexico. These Terms & Conditions ("Terms") govern your access to and use of our website, online forms, membership and supplier-partner inquiry tools, communications, and related services (together, the "Site" or "Services").

By accessing or using the Site or Services, you agree to these Terms. If you do not agree, do not use the Site or Services.

Membership in BAM Savings and participation as a supplier partner are each governed by a separate written agreement. If there is a conflict between these Terms and a written agreement signed by BAM Savings, the written agreement controls to the extent of the conflict.

1. Our role

BAM Savings is a group purchasing organization ("GPO"). We combine the purchasing power of our members to negotiate contracted pricing and terms with participating suppliers, and we connect members with those contracts. We are not involved in healthcare and do not offer healthcare-related products, services, or contracts.

Unless expressly stated otherwise in a written agreement, BAM Savings is not:

• The seller of record for any product or service
• A supplier, distributor, wholesaler, manufacturer, or importer
• A fulfillment, shipping, or logistics provider
• A warranty or product-support provider
• A party to any purchase transaction between a member and a supplier
• A bank, lender, payment processor, or financial institution, and membership is not a financial account or a deposit of any kind

Products and services referenced on our Site or in our communications are sold, priced, invoiced, fulfilled, shipped, supported, and warranted by the applicable supplier.

2. Supplier products and third-party responsibility

Our Site may display or reference product and service categories, suppliers, contracted pricing, and estimated savings. Such information is provided for business, informational, and program-discovery purposes only.

The applicable supplier is responsible for final pricing and invoicing, product availability, order acceptance, payment collection, fulfillment, shipping and delivery, returns and replacements, warranties, product quality and support, product descriptions and claims, taxes related to its sales, and any other obligation related to the sale or supply of its products or services.

BAM Savings does not control and is not responsible for supplier products, supplier performance, availability, supplier invoices, delivery timelines, product claims, defects, or supplier customer service.

3. Membership inquiries and enrollment

Our Site allows businesses to request membership. Submitting a request does not create a membership or a purchase. Unless expressly stated otherwise:

• Membership is subject to our review and acceptance, and to a separate membership agreement.
• Membership is free to join, with no purchase minimums and no commitment period, unless a written agreement provides otherwise.
• Contracted pricing is provided by the applicable supplier, must be confirmed by that supplier, and may change in accordance with the supplier's contract.
• Members purchase directly from suppliers. The supplier — not BAM Savings — invoices the member and is responsible for fulfillment.
• To access contracted pricing, a member may need to be identified to the supplier as a BAM Savings member and may need to link an existing supplier account.

We reserve the right to decline, defer, or not process any membership request at our discretion.

4. Supplier-partner inquiries

Our Site allows suppliers and other businesses to inquire about becoming a participating supplier. Submitting an inquiry does not create a supplier relationship, an obligation to negotiate, or a contract. Any supplier participation is governed solely by a separate written agreement signed by BAM Savings. We reserve the right to decline any supplier inquiry at our discretion.

5. No guarantee of savings or results

BAM Savings helps members identify contracted pricing on the products and services they buy. However, we do not guarantee cost savings, any particular savings percentage, supplier acceptance of an order, supplier pricing or performance, product or service availability, delivery timing, product suitability, or any particular business result.

Any savings figures, ranges, or comparisons shown on the Site are estimates for illustration only. Actual savings depend on the member's purchasing, the applicable supplier contract, and the supplier's confirmed pricing. Pricing, savings, and comparison information is preliminary unless confirmed in writing by the applicable supplier and independently evaluated by the member.

6. Supplier-provided information

Product and service descriptions, specifications, pricing, savings estimates, and other information may be provided by suppliers or other third parties. BAM Savings may rely on supplier-provided information and does not independently verify all of it. Suppliers are responsible for ensuring their information, claims, and materials are accurate, lawful, and current. Review the applicable supplier's official documentation, purchase terms, and warranty terms before making a purchasing decision.

7. Administrative fees and compensation

BAM Savings may receive administrative fees, referral fees, marketing fees, or other compensation from participating suppliers based on member purchasing under GPO contracts. This is how the program is funded and is why membership can be offered at no cost. Where required by law or by your organization's policies, you are responsible for evaluating whether any such arrangement requires disclosure, approval, or other action on your part.

8. Eligibility and business use

The Site and Services are intended for business use by companies, organizations, purchasing professionals, suppliers, and related business users. By using the Site, you represent that you are at least 18 years old; you have authority to use the Site on behalf of yourself or your organization; any information you submit is accurate, current, and complete; and your use complies with applicable law, your organization's policies, and your contractual obligations.

9. Accounts

If any portion of the Site requires an account, you agree to provide accurate information, keep your credentials confidential, notify us promptly by email of unauthorized access, and accept responsibility for activity under your account. We may suspend or terminate access to any account at our discretion.

10. Prohibited uses

You agree not to use the Site or Services to:

• Violate any law, regulation, or contractual obligation
• Submit false, misleading, fraudulent, or unauthorized information
• Misrepresent your identity, authority, affiliation, or intent
• Submit automated, bulk, or spam inquiries, or bypass our bot-protection measures
• Upload malicious code or harmful files, or interfere with Site functionality or security
• Scrape, copy, harvest, or misuse Site data, supplier information, or contract terms
• Reverse engineer or attempt unauthorized access to any system
• Use contracted pricing, supplier information, or program materials for purposes other than your organization's own purchasing under the program, or share them with non-members where prohibited by a written agreement
• Circumvent membership eligibility, supplier agreements, or purchase-volume tracking
• Use supplier content or trademarks without permission

We may restrict, suspend, or terminate access for any prohibited or inappropriate use.

11. Supplier complaints and product matters

If you contact us about a supplier's pricing, order, delivery, return, warranty, quality, or service, we may forward your communication and contact information to the applicable supplier. BAM Savings does not make product, warranty, replacement, or fulfillment determinations. You agree to contact the applicable supplier directly for order status, urgent support, returns, warranties, and product issues.

12. No professional advice

Content on the Site is for general business information only. It is not legal, tax, accounting, procurement, or financial advice. You are responsible for your own purchasing decisions and for complying with your organization's procurement, conflict-of-interest, and vendor policies.

13. Intellectual property

The Site, including its design, text, graphics, logos, icons, images, animations, audio, software, forms, and other content, is owned by or licensed to BAM Savings and is protected by intellectual property laws. You may use the Site only for lawful business purposes related to evaluating, requesting, or communicating about the program. You may not copy, reproduce, distribute, modify, publicly display, create derivative works from, or commercially exploit Site content without our prior written permission. Supplier names, trademarks, logos, and materials belong to their respective owners.

14. Feedback

If you provide suggestions, feedback, or ideas to BAM Savings, you grant us a non-exclusive, worldwide, royalty-free, perpetual, irrevocable right to use them for any business purpose without compensation to you. Do not submit confidential or proprietary information unless covered by a separate written agreement.

15. Third-party links and supplier sites

The Site may link to supplier websites, ordering portals, or other external resources. We are not responsible for the content, privacy practices, security, terms, products, or performance of third-party websites or suppliers. Your interactions with them are governed by their own terms and policies.

16. Privacy

Your use of the Site is also governed by our Privacy Policy, which explains how we collect, use, disclose, and protect information.

16A. Accessibility

BAM Savings is committed to making the Site accessible to people with disabilities and aims to conform to WCAG 2.2 Level AA. Our Accessibility Statement describes the measures we take and how to report a barrier. If you have difficulty accessing any part of the Site, email hello@bamsavings.com and we will work with you to provide the information or service you need through an alternative method where necessary.

17. Disclaimer of warranties

The Site and Services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, BAM Savings disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, reliability, security, and uninterrupted operation. We do not warrant that the Site will be error-free or uninterrupted; that supplier or pricing information will be complete, current, or accurate; that suppliers will accept requests or orders; that products or services will be available; or that any savings or result will be achieved.

18. Limitation of liability

To the fullest extent permitted by law, BAM Savings and its members, managers, officers, employees, contractors, representatives, agents, and affiliates will not be liable for any indirect, incidental, consequential, special, exemplary, punitive, or similar damages, including lost profits, lost revenue, lost savings, lost business opportunities, loss of data, business interruption, reputational harm, or procurement or product issues, arising out of or related to the Site, the Services, or these Terms.

To the fullest extent permitted by law, our total liability for any claim arising out of or related to the Site, the Services, or these Terms will not exceed $100 or the amount you paid directly to BAM Savings for use of the Site, whichever is greater. Some jurisdictions do not allow certain limitations of liability, so some limitations may not apply to you.

19. Indemnification

You agree to defend, indemnify, and hold harmless BAM Savings and its members, managers, officers, employees, contractors, representatives, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys' fees, arising out of or related to your use of the Site or Services; your violation of these Terms or applicable law; your submission of inaccurate, unauthorized, misleading, or unlawful information; your purchasing or procurement decisions; your interactions with any supplier or third party; your misuse of Site or supplier content; or any claim arising from your organization, employees, agents, contractors, or representatives.

20. Suspension and termination

We may suspend, restrict, or terminate your access to the Site or Services at any time, with or without notice, if we believe you have violated these Terms, your use may create legal, security, operational, or reputational risk, your activity appears fraudulent or harmful, or continued access is no longer commercially appropriate. Termination does not limit any rights or remedies available to us.

21. Changes to the Site or these Terms

We may modify, suspend, discontinue, or restrict any part of the Site or Services at any time without notice, and we are not liable for doing so. We may update these Terms from time to time; the updated version will be posted on the Site with a revised "Last updated" date. Your continued use of the Site or Services after updated Terms are posted means you accept them.

22. Governing law

These Terms are governed by the laws of the State of New Mexico, without regard to its conflict-of-law principles.

23. Dispute resolution

Before filing a claim, you agree to email us at hello@bamsavings.com and attempt in good faith to resolve the dispute informally for at least 30 days. If a dispute cannot be resolved informally, it shall be resolved exclusively in the state or federal courts located in the State of New Mexico, unless a different process is required by applicable law or agreed in writing. You consent to the personal jurisdiction and venue of those courts.

24. Notices and communications

All notices, requests, and correspondence to BAM Savings under these Terms must be sent by email to hello@bamsavings.com. We will communicate with you by email at the address you provide, and you consent to receive notices and other communications from us electronically. It is your responsibility to keep your email address current.

25. Severability and entire agreement

If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in full force and effect. These Terms, together with our Privacy Policy and any written agreements between you and BAM Savings, constitute the entire agreement between you and us regarding your use of the Site and Services.
